Read the LabPreCheck Terms of Service for practices, labs, and authorized workforce users.

Agreement And Parties

These Terms apply to both practice and lab customers and to the users acting for them.

These Terms of Service govern access to and use of LabPreCheck, a practice-to-lab workflow service operated by Nunuworks, Inc. By using LabPreCheck, creating an account, accepting an invite, or accessing a practice or lab workspace, you agree to these Terms.

These Terms apply to public visitors, practice customers, lab customers, and authorized users acting on behalf of a customer organization. If you use LabPreCheck for an organization, you represent that you are authorized to bind that organization to these Terms.

If LabPreCheck and a customer expressly enter into a separate written agreement, order form, or negotiated legal exception, that writing controls over conflicting Terms to the extent stated in that writing.

Accounts, Workspaces, And Authority

Customers are responsible for their accounts, users, authority, and workspace access.

LabPreCheck uses organization-based workspaces. Each customer organization is responsible for its users, access permissions, account security, and workspace activity. Customers must provide accurate information and keep it reasonably current.

You may not share accounts improperly, bypass role boundaries, or use the service without lawful authority. Customer organizations are responsible for disabling access for users who should no longer have it.

Practice workspaces are intended for practice teams preparing and submitting cases.

Lab workspaces are intended for lab teams managing intake expectations, invites, and case review.

Organization administrators are responsible for acceptance of the legal package on behalf of the organization where LabPreCheck requires it.

Subscriptions, Billing, Trials, And Payment Authorization

Practices pay under the published billing model, and labs remain bound by the Terms even when their access is no-fee.

Practice subscriptions are billed according to the applicable plan, billing cycle, active-dentist quantity logic, taxes, and payment rules. Customers authorize LabPreCheck and its payment providers to process charges, invoices, subscription renewals, plan changes, and related billing events as required to operate the service.

If LabPreCheck offers a trial, invite-backed free month, promotion, or other commercial exception, that offer applies only as described at the time of the offer and may require payment-method setup before any later paid billing cycle begins.

A lab’s no-fee access does not remove that lab from these Terms. Labs remain bound by the same account, acceptable-use, data, confidentiality, and platform-protection obligations that apply to other users of the service.

Practice customers pay for the practice workflow according to LabPreCheck’s published pricing and billing rules.

Lab customers may use qualifying lab-side workflow features without a subscription fee under LabPreCheck’s current commercial model.

Published pricing, taxes, trials, currency rules, and billing mechanics are part of the service relationship and may be updated according to these Terms and applicable law.

Acceptable Use

Use of LabPreCheck must stay within its intended practice-to-lab workflow scope.

Customers must use LabPreCheck in a lawful, professional, and operationally appropriate way. The service is designed for dental case workflow coordination between practices and labs, not for unrelated activities or platform abuse.

LabPreCheck may suspend, block, limit, or investigate use that threatens the service, violates law, abuses the platform, or creates unreasonable operational, legal, or security risk.

Use LabPreCheck only for legitimate practice-to-lab operational workflows.

Do not misuse the service, interfere with it, scrape it, reverse engineer protected parts of it, or use it to violate law or another party’s rights.

Do not upload, send, or publish content through the service except as authorized for the intended workflow.

Do not use LabPreCheck as a general chat system, cold-outreach tool, or unrelated data repository.

Do not rely on LabPreCheck as a diagnostic tool, clinical-judgment substitute, or emergency communication service.

Data, Privacy, And PHI

Privacy, PHI, and customer data are governed by these Terms together with the Privacy Policy and BAA.

As between the parties, customers retain responsibility for the information they submit, manage, or authorize through LabPreCheck, subject to LabPreCheck’s rights to host, process, secure, back up, support, and improve the service consistent with the Terms, the Privacy Policy, and applicable law.

If a practice or lab uses LabPreCheck for HIPAA-regulated workflows, the incorporated Business Associate Addendum also applies. The HIPAA page explains the operational boundary, and the Privacy Policy explains general information handling.

The Privacy Policy explains how LabPreCheck handles information.

The Business Associate Addendum is incorporated into these Terms for HIPAA-regulated use of the service.

Customers remain responsible for ensuring they have the right to use and disclose the information they place in the service.

Service Materials And Feedback

LabPreCheck owns the service, customers keep their own data rights, and feedback can be used to improve the product.

Using LabPreCheck does not transfer ownership of the platform or related service materials to the customer. Customers receive a limited right to use the service according to these Terms and any applicable subscription relationship.

If a customer or user shares suggestions, workflow ideas, or product feedback, LabPreCheck may use that feedback to improve the service without creating a duty to compensate or restrict later use.

LabPreCheck retains all rights in the service, the site, the software, the documentation, and the related service materials except where law or written agreement says otherwise.

Customers retain their rights in their own submitted information, subject to the service rights needed to host, secure, process, display, and support that information.

Feedback may be used by LabPreCheck to improve the service without obligation or restriction unless a separate written agreement says otherwise.

Service Availability And Changes

LabPreCheck may evolve over time and cannot guarantee uninterrupted availability.

LabPreCheck works to provide a reliable service, but uninterrupted or error-free availability cannot be guaranteed. The service depends in part on customer behavior, connectivity, device conditions, and third-party service providers.

LabPreCheck may modify features, limits, workflows, or supporting materials over time, including where needed for security, legal compliance, customer experience, or platform performance.

LabPreCheck may change, improve, maintain, or discontinue features from time to time.

Maintenance, updates, outages, incidents, or third-party dependencies may affect availability.

Support channels, documentation, and onboarding help are provided according to the service model and customer relationship.

Suspension, Cancellation, And Termination

LabPreCheck may limit or terminate service access when needed to protect the platform or enforce the agreement.

If LabPreCheck reasonably believes continued access creates legal, security, operational, billing, abuse, or PHI-handling risk, it may limit or suspend some or all access to the service. Where appropriate, LabPreCheck may allow a cure period or billing recovery path, but it is not required to do so in every case.

Termination or cancellation does not require immediate deletion of all related information. Data may need to be retained according to the Privacy Policy, the BAA where applicable, billing records, legal obligations, security requirements, and the service retention rules.

LabPreCheck may suspend or terminate access for nonpayment, abuse, legal compliance, security risk, or material breach of these Terms.

Customers may stop using the service subject to active subscriptions, billing obligations, and lawful data-retention needs.

Recurring practice subscriptions may continue through the end of the current billing period when canceled in the ordinary course, unless a faster suspension or termination is justified under these Terms or applicable law.

Some Terms survive termination by their nature, including payment, confidentiality, legal, audit, and limitation provisions.

Warranty Disclaimer

LabPreCheck is provided without broad warranties and may not fit every workflow or uninterrupted-availability expectation.

Except to the extent prohibited by law, LabPreCheck is provided on an “as is” and “as available” basis. Nunuworks, Inc. disclaims warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

LabPreCheck does not promise uninterrupted availability, perfect performance, perfect data completeness, or that the service will meet every customer workflow, documentation, procurement, or compliance preference without customer configuration and lawful use.

Limitation Of Liability

Liability is limited to the fullest extent the law allows.

To the fullest extent permitted by law, Nunuworks, Inc. and its affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from or related to the service.

To the fullest extent permitted by law, aggregate liability under these Terms is limited to the amounts paid by the customer to LabPreCheck for the service during the twelve months preceding the event giving rise to the claim, or, for a no-fee lab customer, a reasonable amount reflecting the no-fee nature of that access.

Indemnity

Customers remain responsible for their own use of the service and for claims arising from that use.

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Nunuworks, Inc., LabPreCheck, and their affiliates, officers, directors, employees, agents, and service providers from claims, losses, damages, liabilities, and reasonable costs arising out of or relating to the matters listed in this section.

Your organization’s use of the service.

Your violation of these Terms, applicable law, or another party’s rights.

Information, content, files, or instructions your organization submits, authorizes, or discloses through the service without sufficient right or authority.

Your workforce, contractor, or authorized-user conduct in connection with the service.

Dispute Resolution And Governing Law

British Columbia law and Vancouver courts govern most disputes unless the law requires something else.

LabPreCheck encourages customers and users to raise issues through Contact before escalating them. If a dispute arises out of or relates to these Terms or the service, the parties agree that the dispute will be resolved in the courts located in Vancouver, British Columbia, Canada, unless applicable law requires another forum.

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Updates To The Terms

Updated Terms are posted here and may be accompanied by additional notice when appropriate.

LabPreCheck may update these Terms from time to time. When the Terms change, LabPreCheck will update the date on this page and may provide additional notice through the service, by email, or by another appropriate customer-communication path where appropriate or required by law.

If the revised Terms take effect, continued use of LabPreCheck after the effective date means the customer and its authorized users accept the revised Terms.

Entire Agreement, Severability, And Waiver

These Terms are the main agreement package, with standard severability and no-waiver rules.

These Terms, together with the Privacy Policy, the incorporated Business Associate Addendum where applicable, and any other expressly incorporated written terms, form the agreement between the parties unless a separate written agreement says otherwise.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent allowed by law. A failure to enforce any provision is not a waiver of later enforcement.
